Subject: Proposed SANS By-Laws

Hi All,

As promised, attached is a copy of the proposed By-Law changes for your review before the May 31st Board of Directors meeting. Note that red indicates proposed new additions and yellow/crossed out indicates deletions. Please forward to any members mistakenly omitted. We would like to discuss any ideas or comments at the meeting, in order to prepare the final draft for the AGM on November 16th.

I had previously emailed some of the info used to determine and justify the proposed changes and have subsequently prepared a PowerPoint slide presentation for the Executive Committee meeting and am attaching that as well.

You will note that there is reference to the SANS Policy Manual at times. The Policy Manual is next on the list for review and of course, as such, some of the policies will change or have to be written to reflect the revised by-laws. The reason we refer to the Policy Manual, is that we can change our policies from within SANS, without having to go to the Joint Stocks Registrar. We have to submit our by-laws every time we change anything to the Registrar, so it just makes it easier to manage, when details can be addressed and voted on, within SANS, in the policies.

Also, some points/objections that have come up are as follows:

1.      Why do the By-Laws need to change?

2.      Why fix something that isn't broken?

3.      We have never had a problem in the past so why does it need to be changed, at all?

In response to these objections, we feel that change is necessary to better reflect the business models that are enabling organizations to move forward in today's very busy and competitive marketplace. Most organizations are moving to a more business like model to better use the resources available to compete for funding, legislative recognition and maneuverability. SANS wants to remain a stable and progressive organization ready to better deal with the demands of more restrictive guidelines, legislation and funding opportunities.

The present structure has a very large Board of Directors which was based on a need to represent each and every club within the organization. The large board was created because there was the need to manage the SANS organization when there were no staff to run the daily operations of the organization. We feel this is no longer the case and unnecessary. In fact, the executive committee is really doing the work of the board.

The board's purpose should be to guide and determine the future strategic direction and purpose of SANS which is certainly not the current case. With a new structure, more meetings at the Zone level, a more even distribution of clubs with in the Zones and a smaller board with a more strategic purpose may hopefully move the organization into the future in a more progressive and dynamic manner,

Please review the attached and bring your comments and suggestions to the BOD meeting, May 31…see you there! If anyone is unable to attend, please don't hesitate to send your comments by email.

Have a great summer!

Reg

If you come across any trail issues if possible please mark with flagging tap and/or report to the club. Thanks for your assistance and understanding in this matter.
